1. Acceptance of Terms

By accessing or using AxeLedger ("the Service"), a product of VoidWorx Labs LLC ("VoidWorx Labs," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Ensure the accuracy of all financial data you enter into the Service.
• Notify us immediately of any unauthorized access or use of your account.
• Not share your account credentials with unauthorized individuals.

You are solely responsible for the accuracy and completeness of the financial data you enter into AxeLedger. We do not verify, audit, or validate the financial information you provide.

3. Data Processing Consent

By using the Service, you grant AxeLedger a limited, non-exclusive right to access, process, store, and display your financial data solely for the purpose of providing and improving the Service. This includes:

• Processing transactions, journal entries, bills, and invoices within your entities.
• Running AI-powered features such as statement parsing and receipt scanning on your uploaded documents.
• Generating reports, analytics, and insights based on your financial data.
• Connecting to third-party services (Stripe for billing, Plaid for bank feeds) as authorized by you.

4. Data Ownership

You retain full ownership of all financial data and content you submit to the Service. We do not claim ownership of your data. We hold a limited license to process your data solely as described in Section 3 above.

You may export your data at any time through the Service's export features. Upon account deletion, your data will be permanently purged in accordance with our Privacy Policy.

5. Subscription & Billing

AxeLedger offers Free, Pro, and Business subscription tiers. Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you agree to the following:

• You authorize Stripe to charge your payment method on a recurring basis for the subscription fee associated with your chosen plan.
• All sales are final for the current billing period. Refunds are not provided for partial billing periods.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, after which your account will be downgraded to the Free tier.
• We reserve the right to change subscription pricing with 30 days' advance notice.
• Platform administrators may override billing decisions (such as issuing refunds or adjusting plans) at their discretion. All such overrides are logged and audited.

We never store your credit card numbers, CVVs, or bank account details. All payment processing is handled securely by Stripe.

6. Multi-Entity Isolation

AxeLedger supports multiple entities (e.g., personal finances, businesses, projects) within a single account. Each entity operates as an isolated silo:

• Data within one entity is completely separate from data in other entities.
• Users invited to one entity cannot access data in another entity unless explicitly granted access.
• Entity limits are determined by the entity owner's subscription plan.
• Role-based access controls (Owner, Admin, Accounting, Reporting, Viewer) govern what each user can do within an entity.

7. AI Features Disclaimer

AxeLedger offers AI-powered features including statement parsing, receipt scanning, and a financial advisor. These features are provided on a best-effort basis. You acknowledge and agree that:

• All AI processing is performed on our self-hosted infrastructure. Your data is never transmitted to third-party AI providers.
• AI-generated results (parsed transactions, categorizations, financial advice) may contain errors and should always be reviewed by you before being relied upon.
• AI features are subject to monthly credit limits based on your subscription tier.
• AI-generated financial advice is not a substitute for professional financial, tax, or accounting advice.
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.

8. Limitation of Liability

You expressly acknowledge and agree that:

• You are solely responsible for your own financial decisions, including but not limited to spending, saving, investing, debt management, and tax filings.
• We are not liable for the accuracy of data you enter, calculations derived from your data, or any financial outcomes resulting from your use of the Service.
• We are not liable for any errors in tax calculations, reports, or filings generated by the Service. You should consult a qualified tax professional for tax advice.
• We are not responsible for any losses, damages, or liabilities arising from your reliance on the Service's output, including AI-generated content.
• To the maximum extent permitted by applicable law, VoidWorx Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action.
• Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless VoidWorx Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any financial data, content, or information you submit through the Service.
• Your financial decisions made using or based on the Service.

10. API & Webhook Usage

AxeLedger provides API access and webhook integrations for eligible subscription tiers. By using these features, you agree to:

• Comply with all applicable rate limits as documented in the API reference.
• Keep your API tokens and webhook secrets secure and confidential.
• Accept that API and webhook services are provided without guarantees of uptime or availability.
• Accept that API tokens expire periodically and must be regenerated.
• Understand that webhooks may be automatically deactivated after repeated delivery failures.
• Not use the API to build a competing product or to scrape data in an unauthorized manner.

11. Account Termination

You may delete your account at any time through the Service's settings. Upon account deletion, your data will be permanently purged within 30 days.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe:

• Violates these Terms or any applicable law.
• Is harmful to other users, us, or third parties.
• Constitutes fraudulent, abusive, or illegal activity.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 9, and 12.

12. Beta Access

AxeLedger is currently in private beta. Access is granted by invitation only. By accepting an invitation and registering an account, you agree to the following additional conditions:

• Beta access may be revoked at any time without notice or liability.
• Beta invitation links are personal and non-transferable. You may not share, resell, or distribute your invitation link.
• The Service is provided during beta in an "AS IS" state. Features, pricing, and availability are subject to change at any time.
• Beta participants may be asked to provide feedback. You grant us a non-exclusive, perpetual license to use anonymized feedback to improve the Service.
• We reserve the right to limit, modify, or discontinue beta access without notice.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Miami-Dade County, Florida.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
